夫妻店两头鸟Good case for firms run by couples
“求求你们了!放过我家人吧,不要赶尽杀绝啊!大家一家人,何必自相残杀呢?” 2011年3月21日,真功夫创始人蔡达标的女儿蔡慧亭,在微博中向母亲潘敏峰和舅舅潘宇海发出了这样一段让人寒心的“哀求信”,让本来就沸沸扬扬的真功夫“家族内乱”事件更加白热化。 蔡达标与潘敏峰都是东莞长安镇人,蔡达标比潘敏峰长一岁,从小青梅竹马,抬头不见低头见的长相厮守,彼此培养了难以割舍的真情。1991年,两人不顾父母反对,喜结连理。 1992年,在蔡达标父亲的资助下,夫妻二人开了个五金店,但因经营不善,第二年就歇业了。当时,因潘敏峰的关系,蔡达标有了重新起家的机会。在潘敏峰弟弟的盛情邀请下,二人加入了其在东莞107国道旁一家名为“168蒸品快餐店”的小店,开始了蔡潘两家神奇的创业之旅,一发不可收拾。 “三打白骨精”(三餐饭打倒白领、骨干、精英)——这句响亮的广告语,让“真功夫”一度成为国内快餐连锁的旗帜企业,但如今却祸起萧墙。 “为了做第一大股东,你丧心病狂、不择手段,带领家人疯狂地侵占我和我弟弟的财产,我相信法律是正义的,你这种不义之财,早晚都要吐出来!苍天有眼,因果皆报!”2011年4月1日,潘敏峰针锋相对地发表了题为《蔡达标,你什么时候才肯放手!》的公开声明,家族内部矛盾到达了无法调和的地步。 从表象上看,真功夫内乱是由于蔡达标引入风险投资、启动上市计划,而在公司内部大刀阔斧推行去家族化,让公司大股东潘宇海感到有被“架空”威胁,从而导致他通过强行的司法介入,以维护自身在公司内部的控制权。真功夫的“办公室政变”与贝恩资本导演的国美“帅位之争”如出一辙,都是国外投资机构与国内宗族企业在思维逻辑与行为模式之间的直接碰撞。然后深层次原因,还是部分被传统习俗束缚已久的老一代创业者对新型现代化公司治理制度的不适应。 按照目前大多数专家分析,真功夫内乱根源是股权结构设计不科学不合理。但事实上,在蔡达标与潘敏峰离婚之前,公司股权相对要比现在稳定多了。然而,蔡潘二人离婚之际,潘敏峰为了要回儿子抚养权,忍痛割爱将自己名下25%股权转给蔡达标,这说明潘敏峰本人对于家族亲情的看重远远高于商业利益,而蔡达标也正是因为潘敏峰为了亲情可以牺牲一切心态,让自己股份有了与潘宇海并驾齐驱的机会,为现在的二虎相争埋下了隐患。 真功夫内乱让大家看到了“夫妻店”模式的弊端。但事实上,真功夫早期的蓬勃发展完全得益于蔡达标与潘敏峰的相濡以沫、同舟共济。蔡、潘二人从同甘共苦到反目成仇中间的是非曲直,也给当前中国许多有着股份制与宗族色彩混搭基因的多数民营企业敲响了警钟。 更多人开始反思,在中国文化环境下,如何经营“夫妻店”? via “夫妻店”:生死两头鸟(图文)_张小平_新浪博客.
